Abstract

In India, bribery and legal misconduct in corporations were major reasons for the decline of investor trust, corporate life, and the economy as a whole. Each time, corporate frauds disclosed regulatory and governance failures in the system. The research aimed at reviewing the role of corporate governance mechanisms in curbing and dealing with frauds and management, in India, legally and analytically. A doctrinal research methodology with secondary data analysis was used, and the paper assessed the statutory provisions under the Companies Act, 2013, SEBI regulations, and court judgments. It was concluded that though India had a full-fledged corporate governance framework the problems persisted in enforcement, board effectiveness, and compliance culture. The research pointed out the need for hard governance implementation and regulatory coordination to successfully fight corporate wrongdoing.
